01Acceptance
These Terms of Service (the “Terms”) form a binding agreement between you (“you”) and Ledg (“Ledg,” “we,” or “us”) governing your use of ledg.ca, app.ledg.ca, our APIs, and any related services (together, the “Service”). By creating an account, clicking a button that references these Terms, or using the Service, you agree to be bound by them.
You must be at least the age of majority in your province or territory, and you must have authority to bind the business or corporation you are signing up on behalf of. If you do not meet these requirements, do not create an account.
02What Ledg is
Ledg is a bookkeeping tool for Canadian corporations. It helps you record transactions, categorize expenses, calculate sales taxes (GST, HST, PST), track filing deadlines, and produce reports you can share with your accountant or submit to the Canada Revenue Agency (“CRA”).
Ledg is a software service. We are not a chartered professional accounting firm, tax preparation firm, licensed financial advisor, or law firm. The data, calculations, reports, and suggestions produced by Ledg are for your convenience and do not constitute accounting, tax, legal, or financial advice. The Service is offered on an ongoing basis and is evolving. We may add, change, or remove features at any time. We will give you reasonable notice of material changes that degrade functionality you are actively using.
03Your account
To use most of the Service you must create an account using a valid email address or a supported third-party sign-in provider (currently Google). You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must notify us promptly at legal@ledg.ca if you suspect unauthorized access to your account.
04Acceptable use
You agree not to, and not to attempt to:
- Use the Service in a way that violates applicable law, including Canadian anti-spam, privacy, securities, tax, or export laws.
- Upload content that infringes intellectual property rights or privacy rights of another person.
- Reverse engineer, decompile, scrape beyond what the public robots directives allow, or extract the source code of the Service, except as permitted by law.
- Interfere with the security, integrity, or performance of the Service, including by probing for vulnerabilities without prior written consent.
- Use the Service to develop a competing product, or to train machine-learning models on Ledg output for competing purposes.
- Share your account credentials with others or resell access to the Service.
Our full Acceptable Use Policy forms part of these Terms. Violations may result in suspension or termination of your account.
05Subscription and billing
The Service currently includes a free tier that covers typical solo-corporation usage. We may introduce paid plans in the future. If we do, we will show pricing clearly before asking for payment and you will not be charged unless you explicitly subscribe.
Fees are stated in Canadian dollars unless otherwise noted. You are responsible for applicable taxes. Paid subscriptions renew on their term unless cancelled before renewal. Cancellation takes effect at the end of the current paid period and we do not issue pro-rated refunds for partial periods except where required by law.
06Your data and content
You retain all rights to the financial records, files, receipts, and other content you upload or generate through the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content solely as necessary to operate and improve the Service for you, to provide support, and to comply with legal obligations.
We do not use Your Content to train public machine-learning models. If we use aggregated or anonymized signals derived from usage to improve the Service, that usage will not identify you or your business.
You represent and warrant that you have the right to upload Your Content and that doing so does not violate any law or the rights of any third party.
Files stored in your own cloud storage
When you connect a third-party storage provider (currently Google Drive) under Settings → Connections and attach receipts or upload minute-book documents, those files are uploaded to yourcloud account, not Ledg's servers. Ledg stores only a pointer (file id, original filename, MIME type, size, upload timestamp) and surfaces links back to the file in your account.
As a result, files you upload via a connected provider remain in your account if you cancel your subscription or delete your Ledg account. You are responsible for any storage quotas, retention rules, or sharing permissions that the third-party provider enforces on your account. 07Intellectual property
The Service, including all software, designs, logos, text, and trademarks, is owned by Ledg or its licensors and is protected by Canadian and international intellectual-property laws. These Terms do not grant you any rights to our intellectual property other than a limited, revocable, non-transferable licence to use the Service in accordance with these Terms.
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation.
08Disclaimers
To the maximum extent permitted by applicable law, the Service and all related content are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, or freedom from error.
We do not warrant that the Service will meet your requirements, that any output is suitable for submission to the CRA or any other authority, that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
09Limitation of liability
To the maximum extent permitted by law, in no event shall Ledg be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or the cost of substitute services, arising out of or in connection with your use of the Service, whether based in contract, tort, or any other legal theory.
In no event shall Ledg's aggregate liability to you exceed the greater of (a) the total fees you paid Ledg for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) CAD $100.
Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages, so parts of this section may not apply to you.
10Indemnity
You agree to defend, indemnify, and hold harmless Ledg and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with (i) your use of the Service, (ii) Your Content, (iii) your violation of these Terms, or (iv) your violation of any law or rights of a third party.
11Termination
You may stop using the Service at any time and delete your account from your account settings or by contacting us. We may suspend or terminate your access to the Service, with or without notice, if we believe in good faith that you have violated these Terms or any applicable law, or where required to do so by a regulatory authority.
On termination, sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and general provisions, will survive.
12Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by email to the address on your account or through the Service at least fourteen (14) days before the changes take effect, unless the changes are required by law to take effect sooner.
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service before they take effect.
13Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of laws principles. The courts located in Vancouver, British Columbia have exclusive jurisdiction, except that either party may bring a small-claim dispute in the court of the other party's province of residence where permitted by law.
If you are a consumer resident in Quebec, Ontario, or another province that provides mandatory consumer-protection rights, nothing in these Terms limits those rights.
14General
Entire agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, and Accounting & Tax Disclaimer, constitute the entire agreement between you and Ledg regarding the Service.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets.
No waiver
Our failure to enforce any part of these Terms is not a waiver of our right to do so later.
